2. Grant of the Franchise:
The Franchisor grants the Distributor (Franchisee) the right to operate a franchise for the sale of caravans in the territory of Specific Geographic Areas: Zofri Iquique, Antofagasta, Temuco, Puerto Varas, Punta Arenas.

3. Base Remuneration for Foreign Trade Services:
The Distributor agrees to pay Vintage Trailers Spa a minimum and base remuneration: equivalent to 5% of the total amount of each operation carried out for foreign trade services, calculated on the value of the final sale of the caravans, accessories and spare parts. In your representation area. The sales prices are set in Chile, ensuring the client the lowest price on the market. This number is the responsibility of the distributor.

6. Financial Operator:

7. Financial Guarantee:
In exchange for the financial guarantee of 12 million pesos, the Distributor will receive the following benefits from Vintage Trailers Spa:

  • Motor Home for Display: Vintage Trailers Spa will provide the Dealer with a selected motor home for use as a display. This unit will be intended for the presentation and promotion of products at events, fairs and other places of interest, thus contributing to the visibility and attraction of customers.
  • Catalog Access: The Distributor will have full access to the Vintage Trailers Spa product catalog, including detailed specifications, technical features and customization options. This access will facilitate the proper presentation of available options to customers, enhancing the Distributor’s ability to meet their needs and preferences.
  • Benefits Described in This Agreement: In addition to the motor home and access to the catalog, the Distributor will enjoy all the benefits and rights described in this agreement, including but not limited to remuneration for foreign trade services, participation in the franchise in the geographical areas specified, and the responsibilities and tasks detailed in the relevant clauses.

8. Basic Duties of the Distributor:
The Distributor, in his capacity as an expert in the distribution of caravans, will assume the following additional responsibilities as an integral part of the operation of the franchise:

  • Inspection and Cleaning: Carry out detailed inspections and thorough cleaning of each caravan before delivery to the customer, ensuring they are in optimal condition and complying with the quality standards established by Vintage Trailers Spa.
  • **Protection against Environmental Factors:** Implement measures to protect caravans from the adverse effects of the sun and the environment, ensuring they are kept in pristine condition as the last owner would.
  • Document Delivery: Coordinate the timely delivery of all necessary documents, including manuals, certificates and warranties, to end customers as part of the purchasing process.
  • Local Calls: Maintain active communication with local customers, responding to queries and providing the necessary support to guarantee a satisfactory after-sales experience.

9. Mutual Agreement Policy and Termination Notice:
This contract operates under the mutual agreement policy, allowing termination of the agreement with a 90-day notice. Both parties agree to cooperate in good faith to resolve any dispute that may arise during the term of the contract.

10. Franchisee’s Declaration of Intentions:
The Franchisee declares that he or she has the sole intention of working with Vintage Trailers Spa and agrees not to take advantage of the business’s confidential information for personal or third-party purposes.

11. Rates and Payments:
The rates associated with the franchise, as well as the value of the euro for pricing, will be established by mutual agreement between the parties. Global 66 will be the financial operator designated to manage transfers and payments, ensuring immediacy and transparency in transactions.

12. Geographic Areas:
The Franchisee will operate exclusively in the following geographical areas: Zofri Iquique, Antofagasta, Temuco, Puerto Varas, Punta Arenas. Entry into new areas will be subject to mutual review and approval.

13. Cargo Insurance:
The cargo insurance necessary for the formation of the CIF or the payment of 2% as indicated by customs will be the responsibility of the Franchisee. This insurance will guarantee the safety of the caravans during transport and will be governed by the policies established by the customs authorities. This value should not exceed 2%.

14. Mutual Agreement Policy in Relation to the Legal Representative:
The relationship between the Legal Representative and the Franchisee will operate under the premise of mutual agreement, promoting collaboration and understanding between both parties.

15. Utility Payments and Billing:
Utility payments will be made immediately after transfers with a maximum period of three days after delivery of the invoice. A bill of fees for services will be issued for the total to be transferred, requiring the client’s VOB for correct billing and compliance of the transaction.

16. Basic Tasks of the Distributor (Additional):
In addition to the basic tasks established in point 8, the Franchisee will assume the following responsibilities in relation to the distribution and delivery of spare parts and accessories:

  • Inventory Management: Maintain updated inventories of spare parts and accessories, ensuring product availability to meet local market demands.
  • Price Setting: Price setting for spare parts and accessories in after-sales operations will be carried out on a case-by-case basis and will be the subject of mutual agreement between the Franchisee and Vintage Trailers Spa.

17. Professional Education of the Franchisee:
As a fundamental requirement for participation in this franchise, the Franchisee must declare having a complete professional education, providing a solid basis for the understanding and effective execution of the obligations established in this Agreement.

18. Cargo Insurance for the Formation of the CIF and warehouse:
The Franchisor undertakes to contract adequate cargo insurance for the formation of the CIF, or failing that, to assume the payment of 2% as indicated by customs. This insurance will be necessary to guarantee the protection of the caravans during transport to the warehouse in port. Additional expenses for late withdrawal are the responsibility of the franchisee.

19. Policy of Mutual Agreement between the Legal Representative and the Franchisee:
The relationship between the Legal Representative and the Franchisee will be governed by a policy of mutual agreement, promoting cooperation and understanding between both parties.

20. Financial Operator and Euro Value:
Global 66 will be the designated financial operator to manage transfers and payments associated with the sale of caravans, accessories and spare parts. The value of the euro for pricing purposes will be based on the price published by the Central Bank of Chile on the date of the operation.

21. Chilean Law and Applicable International Trade Laws:
This contract will be subject to the laws of Chile and applicable international trade laws. Any dispute or controversy arising in connection with this contract will be resolved in accordance with such laws.

22. Brands and Content Ownership:
The brands used belong to their respective owners, and Vintage Trailers Spa uses these names only to offer the products used and comply with the legal procedures before the corresponding European and Chilean authorities. Photographs, videos, websites and social networks related to the franchise are the property of Vintage Trailers Spa and cannot be used without express authorization.
